Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Keyosk ("we," "us," or "our"), concerning your access to and use of the Keyosk website, mobile application, and related services (collectively, the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

Definitions

  • Service: Refers to the Keyosk website, mobile application, calculators, lead generation platform, and all related services.
  • User: Any individual or entity who accesses or uses the Service.
  • Lead: Information about a potential customer, including personal data and vehicle interests, generated through the Service.
  • Dealership/Partner: Verified auto dealerships, brokers, or financing companies that receive lead data from Keyosk.
  • Content: All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code on the Service.

Description of Service

Keyosk provides a car-payment calculator and lead-generation platform that connects vehicle buyers with verified auto dealerships, brokers, and financing companies. Our Service includes:

  • Automotive payment calculators for estimating monthly payments, trade-in values, and depreciation
  • Lead generation and matching services for vehicle buyers and sellers
  • Platform access for dealerships, brokers, and partners to receive qualified leads
  • Data collection and sharing services as described in our Privacy Policy

Keyosk acts as an intermediary platform and does not directly sell vehicles, provide financing, or guarantee any transactions between users and third-party dealerships or brokers.

Account Registration

You may be required to register with the Service to access certain features. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate
  • Maintain the security of your password and identification
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

User Responsibilities and Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Service for any commercial purpose not expressly authorized by Keyosk

Calculator Disclaimer

All payment calculators, trade-in estimators, and depreciation calculators provided by Keyosk are for estimation and informational purposes only. Estimates are non-binding and may not reflect final payments, values, or terms. Actual payments, trade-in values, and financing terms will differ based on:

  • Dealer fees, taxes, registration, and licensing costs
  • Your actual credit score and credit history
  • Financing terms and conditions offered by lenders
  • Market conditions and vehicle availability
  • Final negotiated prices and terms

Keyosk does not guarantee the accuracy of any calculator results and is not responsible for any decisions made based on these estimates.

Lead Generation Disclaimer

Keyosk does not guarantee:

  • That leads will result in completed sales or transactions
  • The quality, accuracy, or completeness of lead information
  • That dealerships or partners will contact you
  • Any specific conversion rates or response times from third parties
  • The accuracy of vehicle information, pricing, or availability

Lead generation is provided as-is, and Keyosk is not responsible for any transactions, agreements, or interactions between users and third-party dealerships, brokers, or partners.

Service Availability

The Service is provided on an "as-is" and "as-available" basis. Keyosk does not warrant that the Service will be uninterrupted, secure, or error-free. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

Intellectual Property

All content, branding, and logos belong to Keyosk. Reuse without permission is prohibited.

Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. KEYOSK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL KEYOSK, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

IN NO EVENT WILL KEYOSK'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO KEYOSK IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, WHICHEVER IS GREATER.

Keyosk is not liable for any transactions, agreements, or interactions between users and third-party dealerships, brokers, financing companies, or partners. All such interactions are solely between you and the third party.

Indemnification

You agree to defend, indemnify, and hold harmless Keyosk, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Contributions, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Keyosk. Keyosk has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Keyosk shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Modifications to Terms

Keyosk reserves the right, in its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

Legal Updates and Compliance: Keyosk may update these Terms automatically to align with new or amended laws and maintain compliance. We will notify you of material changes via email and/or a prominent notice on our Service when reasonably possible. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Governing Law and Dispute Resolution

These Terms shall be governed by and defined following the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state and federal courts located in Florida, and you consent to the personal jurisdiction of such courts.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Keyosk regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
